1. Purpose
The purpose of this Agreement is to define the terms and conditions under which the Intern will undertake a professional internship with ESG Knowledge Platform and the conditions under which the Intern may be eligible for a performance-based bonus tied to commercial contribution and net revenue generation.
2. Internship Role and Responsibilities
The Intern will carry out tasks related to research and commercial activities, business development, and/or revenue-generating initiatives under the supervision of an assigned Mentor.
The Internship Supervisor will monitor and evaluate the Intern’s progress, performance, and adherence to assigned responsibilities.
3. Duration
The internship shall commence on / /2025 and conclude on / /2025 unless terminated earlier in accordance with Section 7 of this Agreement.
4. Performance-Based Bonus Structure
The Intern may be eligible for a performance-based bonus under the following conditions:
A bonus of 3% of net revenue will be awarded based on the revenue directly attributable to the Intern’s efforts.
Revenue must be documented, traceable, and verifiable, with confirmation by both the Internship Supervisor and the Commercial Manager.
The bonus shall be calculated at the conclusion of the internship and paid within 30 calendar days of the internship end date, net of applicable taxes.
5. Conditions of Eligibility
The Intern shall be eligible for the bonus only if all the following conditions are met:
Completion of the full internship period as stated in Section 3.
Monthly satisfactory performance evaluations by the Internship Supervisor.
Clear contribution to revenue-generating activities with supporting documentation.
No record of misconduct, breach of company policies, or fraudulent behavior during the internship.
6. Compensation and Benefits
The Intern shall not be entitled to a fixed salary or stipend unless otherwise specified in a separate agreement.
The performance-based bonus is the sole form of compensation under this Agreement.
No employment relationship is created through this internship.
7. Termination
This Agreement may be terminated by either party at any time with reasonable notice. In the case of early termination, the Intern will not be entitled to any bonus, unless otherwise determined in writing by the Organization.
8. Confidentiality and Conduct
The Intern agrees to maintain confidentiality of all proprietary and sensitive information.
The Intern shall comply with all company rules, policies, and codes of conduct during the internship period.
9. Amendments
Any changes to this Agreement must be made in writing and signed by both Parties.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Netherlands and the Amsterdam court.
By signing below, both parties acknowledge and accept the terms outlined herein.
